Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On February 28, 2022, the Board of Directors of Root, Inc. (the “Company”) elected Beth Birnbaum, former Chief Operating Officer at PlayFab, to join the Board of Directors as a Class I director with a term expiring at the Company’s 2024 Annual Meeting, effective March 1, 2022. Ms. Birnbaum will be a member of the Board's Compensation Committee.

Ms. Birnbaum will participate in the Company's non-employee director compensation policy, which was filed as Exhibit 10.4 to the Company’s Annual Report on Form 10-K for the year ended December 31, 2021.

There were no arrangements or understandings between Ms. Birnbaum and any other persons pursuant to which Ms. Birnbaum was selected as a director. Ms. Birnbaum does not have any direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
